1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and VetBid LLC ("VetBid," "we," "us," or "our"), governing your access to and use of the VetBid platform available at vetbid.us and any related applications, APIs, or services (collectively, the "Service").

By accessing or using the Service, creating an account, or clicking any acceptance button, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. Description of Service

VetBid is a business development (BD) operating platform designed exclusively for Service-Disabled Veteran-Owned Small Businesses (SDVOSBs) and Veteran-Owned Small Businesses (VOSBs) competing for U.S. federal government contracts. The Service includes, but is not limited to:

  • AI-powered Request for Proposal (RFP) go/no-go analysis and fit scoring
  • Federal contract opportunity discovery and NAICS-matched opportunity feeds
  • Pipeline management and bid tracking tools
  • Company capability profile management
  • SAM.gov registration and SDVOSB certification expiry alerts
  • Teaming partner identification tools
  • Proposal and document assistance tools

3. Eligibility

The Service is intended for use by business entities and individuals engaged in or seeking to engage in U.S. federal government contracting. You must be at least 18 years of age and have the legal capacity to enter into binding contracts. By using the Service, you represent and warrant that you meet these requirements.

While the Service is designed with SDVOSBs in mind, eligibility for the Service does not confer or confirm any SDVOSB or VOSB certification status. Certification is governed exclusively by the U.S. Department of Veterans Affairs (VA) and applicable federal regulations.

4. Accounts and Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

You must notify us immediately at support@vetbid.us if you suspect any unauthorized use of your account. VetBid will not be liable for any loss or damage resulting from unauthorized use of your account where you have failed to notify us promptly.

VetBid reserves the right to suspend or terminate accounts that are found to be inactive, in violation of these Terms, or used in any manner that VetBid determines, in its sole discretion, to be harmful to the Service or other users.

5. Subscriptions and Payments

VetBid offers subscription plans and one-time scan credit packages (collectively, "Plans"). Applicable fees, features, and billing cycles are described on the pricing page of the Service and are subject to change with notice.

  • Billing: Subscription fees are billed in advance on a recurring basis (monthly or annual) depending on the Plan selected. All fees are in U.S. dollars.
  • Automatic Renewal: Subscriptions renew automatically at the end of each billing period unless you cancel prior to renewal. You authorize VetBid to charge the payment method on file for the renewal amount.
  • Price Changes: VetBid may modify pricing with at least 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
  • Taxes: You are responsible for all applicable taxes associated with your use of the Service, except where VetBid is required to collect taxes on your behalf.
  • Failed Payments: If a payment fails, VetBid may suspend access to the Service until payment is successfully collected. We will attempt to notify you of failed payments.

6. AI-Generated Content and Disclaimer

The Service uses artificial intelligence and machine learning to analyze RFPs, score opportunities, and generate recommendations. You acknowledge and agree that:

  • AI-generated analysis, fit scores, and recommendations are provided for informational and decision-support purposes only and do not constitute legal, procurement, financial, or professional advice.
  • AI outputs may contain errors, omissions, or inaccuracies and should be independently verified before making any bid/no-bid decisions or submitting proposals.
  • VetBid does not guarantee the accuracy, completeness, or fitness for any particular purpose of any AI-generated content.
  • Bid decisions and proposal submissions remain solely your responsibility. VetBid is not liable for any losses arising from reliance on AI-generated analysis.
  • Uploaded RFP documents and associated analysis data may be processed by third-party AI providers. See our Privacy Policy for details.

7. User Content and Data

You retain ownership of all documents, data, and materials you upload or submit to the Service ("User Content"). By submitting User Content, you grant VetBid a limited, non-exclusive, royalty-free license to process, store, and use your User Content solely to provide and improve the Service.

You represent and warrant that: (a) you own or have the right to submit the User Content; (b) the User Content does not violate any applicable law or third-party rights; and (c) you have authority to share any government procurement documents you upload, and such sharing complies with any applicable handling restrictions or markings.

VetBid does not sell your User Content to third parties. Aggregate, de-identified data may be used to improve the Service.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable federal, state, or local law or regulation, including but not limited to the Federal Acquisition Regulation (FAR) and applicable procurement laws
  • Submit false, misleading, or fraudulent information in any company profile or certification claim
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Resell, sublicense, or otherwise commercialize access to the Service without authorization
  • Use automated means to scrape, crawl, or extract data from the Service
  • Interfere with or disrupt the integrity or performance of the Service or its infrastructure
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Upload malicious code, viruses, or any content that could harm the Service or other users

9. Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, logos, and the VetBid brand, are owned by or licensed to VetBid and are protected by U.S. and international intellectual property laws. These Terms do not transfer any intellectual property rights to you.

You may not copy, reproduce, modify, distribute, or create derivative works of any part of the Service without our prior written consent. Any feedback, suggestions, or ideas you provide about the Service may be used by VetBid without compensation or attribution to you.

10. Third-Party Services and Links

The Service integrates with or links to third-party services including but not limited to SAM.gov, payment processors, authentication providers, and AI model providers. These third parties have their own terms and privacy policies, and VetBid is not responsible for their content, practices, or availability.

Access to SAM.gov data is subject to the General Services Administration's terms of use. VetBid does not warrant the accuracy or timeliness of data sourced from SAM.gov or other government databases.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

VETBID DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. VETBID DOES NOT WARRANT THAT ANY AI-GENERATED ANALYSIS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VETBID, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, CONTRACTS, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF VETBID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL VETBID'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO VETBID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH CASES, VETBID'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless VetBid and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

14. Termination

You may cancel your account at any time through your account settings or by contacting support@vetbid.us. Upon cancellation, your access to paid features will continue until the end of the current billing period.

VetBid may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service immediately ceases. Sections 6, 9, 11, 12, 13, 15, and 16 survive termination.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court, except that either party may bring claims in small claims court if they qualify. You waive any right to a jury trial and any right to participate in a class action lawsuit or class-wide arbitration.

Arbitration shall take place in the State of Delaware. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16. Changes to Terms

VetBid reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

For changes that materially and adversely affect your rights, we will provide at least 30 days' advance notice via email to the address associated with your account.

17. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and VetBid regarding the Service and supersede all prior agreements.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: VetBid's failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
  • Assignment: You may not assign these Terms or your rights under them without VetBid's prior written consent. VetBid may assign these Terms freely.
  • Force Majeure: VetBid shall not be liable for delays or failures resulting from circumstances beyond its reasonable control.
